Terms of Use

The terms governing GeoFoundry One software, accounts, licences, subscriptions, GNSS workflows and related services.

These Terms of Use (“Terms”) govern your use of GeoFoundry One products and services, including GeoFoundry One – Field Mapper, GeoFoundry One – Template Builder, the GeoFoundry One website, account and licensing services, and related services. By creating an account, purchasing a licence or using GeoFoundry One, you agree to these Terms.

GeoFoundry One Services

GeoFoundry One provides software designed for geospatial field data collection, project management, template creation, GNSS positioning, mapping, data export and related workflows. Features may change as GeoFoundry One is developed and improved.

Accounts

Certain services require a GeoFoundry account. You are responsible for providing accurate account information, maintaining the confidentiality of your credentials and preventing unauthorized access to your account. You are responsible for activity performed through your account except where unauthorized activity results from circumstances for which GeoFoundry is legally responsible.

Licences

GeoFoundry One offers Individual and Organization licences. An Individual Licence is intended for an individual user and is limited to one registered device, subject to the applicable product and licence conditions. An Organization Licence supports multiple registered devices according to the number of seats purchased by the organization.

Licences may be offered on monthly or annual billing periods. A licence grants a limited right to use the applicable GeoFoundry software. It does not transfer ownership of GeoFoundry software or intellectual property to the user.

Organization Seats

Organization licences are purchased according to the required number of seats. Each seat represents the permitted device/user capacity specified for the applicable subscription. Organizations are responsible for ensuring that the number of active installations or users does not exceed the licence capacity purchased. GeoFoundry may enforce licence and device limits through its licensing systems.

Subscription Billing

Paid subscriptions are billed according to the billing period selected during purchase. The applicable price, billing period, number of organization seats and total amount are presented during checkout. Prices may change for future purchases or renewal periods. Where required, users will be informed of material pricing changes before they take effect.

Payment Processing

Payments may be processed by third-party payment providers, including Pesapal. A subscription or licence may not become active until payment has been successfully verified. Payment-provider terms may also apply to transactions processed through their services.

Failed or Overdue Payments

Where a recurring payment fails or an amount becomes overdue, GeoFoundry may provide a grace period where applicable. If payment remains outstanding, access to paid functionality or licence entitlements may be restricted, suspended or terminated.

Cancellation and Renewal

Users may manage eligible subscriptions through the available GeoFoundry account facilities. Cancellation prevents future renewal where applicable but does not normally invalidate access already paid for during the current billing period unless otherwise required by law. The applicable subscription status and expiry or renewal information will be shown through the user's GeoFoundry account where available.

Refunds

Refund requests are considered in accordance with applicable law, the circumstances of the transaction and any refund conditions communicated at the time of purchase. Nothing in these Terms removes consumer rights that cannot legally be excluded.

User Data and Ownership

You retain ownership of field, project and geographic data you create using GeoFoundry One. This may include geometries, coordinates, attributes, photographs, videos and other project information. Using GeoFoundry One does not transfer ownership of this information to GeoFoundry.

You are responsible for ensuring that you have the necessary rights and permissions to collect, process, export or distribute information entered into GeoFoundry One.

Data Backup

Unless a specific GeoFoundry service expressly provides managed cloud backup, you are responsible for maintaining appropriate backups of your projects, templates, exported data, photographs and other important information. You should not rely on a single mobile device as the only copy of important field data.

GNSS and Positional Accuracy

GeoFoundry One may obtain positioning information from phone GNSS, supported Trimble GNSS receivers or other compatible external GNSS equipment. Actual positional accuracy depends on factors outside GeoFoundry's control, including receiver hardware, satellite geometry, atmospheric conditions, correction services, obstructions, configuration and operating environment.

GeoFoundry does not guarantee that a particular GNSS position will achieve a specific survey accuracy. Users remain responsible for determining whether their equipment, methodology and resulting data are suitable for their intended professional, engineering, cadastral, surveying or other use.

Third-Party GNSS Services

Trimble GNSS integration may rely on Trimble Mobile Manager and related Trimble technology. Third-party software and services remain subject to their providers' terms, availability, compatibility and technical requirements. GeoFoundry does not control third-party services and cannot guarantee their uninterrupted availability.

Maps and Basemap Data

Users are responsible for ensuring that they have the necessary rights to import, use and distribute third-party mapping, imagery, shapefiles, basemaps or other datasets through GeoFoundry One. GeoFoundry does not grant rights to third-party geographic datasets merely because the software can display or process them.

Acceptable Use

You must not use GeoFoundry One to unlawfully access systems or data, interfere with the operation or security of the service, circumvent licence restrictions, distribute unauthorized copies of the software, attempt to defeat licence or device controls, or use the service in violation of applicable law.

Intellectual Property

GeoFoundry One software, branding, interfaces, documentation, website materials and related technology are owned by GeoFoundry or its applicable licensors and are protected by applicable intellectual-property laws. Except for the licence expressly granted to use the software, no ownership rights are transferred to the user.

Software Updates

GeoFoundry may release updates to improve functionality, compatibility, security and reliability. Some updates may be required for continued compatibility with GeoFoundry services, Android, external GNSS systems or other integrated services.

Service Availability

We aim to maintain reliable GeoFoundry services, but uninterrupted or error-free availability cannot be guaranteed. Services may occasionally be unavailable because of maintenance, network failures, third-party outages, security requirements or circumstances outside our reasonable control.

Professional Responsibility

GeoFoundry One is a technical tool that assists with geospatial data collection and management. It does not replace professional judgment. Users are responsible for reviewing collected information and determining whether it is accurate and suitable for the intended project or decision.

Limitation of Liability

To the extent permitted by applicable law, GeoFoundry is not liable for indirect, incidental, consequential or special losses arising from the use or inability to use GeoFoundry One, including loss of data, loss of business or losses resulting from inaccurate positioning or user configuration. Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

Suspension or Termination

GeoFoundry may restrict or suspend access where reasonably necessary because of unpaid subscriptions, material violations of these Terms, security threats, fraud, misuse or unauthorized licence activity. Where reasonably possible and legally appropriate, users will be given an opportunity to resolve the relevant issue.

Privacy

Use of GeoFoundry One is also subject to the GeoFoundry One Privacy Policy.

Changes to These Terms

We may update these Terms as GeoFoundry products, commercial arrangements or legal requirements change. Material changes will take effect in accordance with applicable law. The latest Terms will be published on the GeoFoundry One website.
